Written agreement before payment
Arka Matrix is an India-based B2B guest-posting and editorial outreach service, not an instant online checkout. Buyers represent that they purchase for commercial or professional purposes, including agency fulfilment or white-label resale. No purchase is made by sending an enquiry. Each confirmed order is based on a written quote or statement of work (SOW), the Service Terms and the 180-day Replacement Guarantee. The buyer must explicitly accept the quoted terms before payment or before we start work, whichever is earlier.
This page provides the standard order-agreement framework that agencies and freelancers can review with their procurement teams. A completed quotation identifies the actual legal contracting entity, scope, pricing and any approved deviations. It is not an executed agreement until accepted by both sides.
1. Order identification and authorised parties
| Item | To be completed in the accepted quotation |
|---|---|
| Seller | Arka Matrix; legal business/entity name, registered billing details and tax identification shown on the invoice |
| Buyer | Agency/company legal name, billing contact and authorised approver |
| Order number | Unique quotation and invoice references |
| Issue and acceptance dates | Quotation date, validity date and dated written acceptance |
| Services | Number of guest-post placements, campaign/client allocation, target geographies and expected billing cycle |
| Deliverables | Published URLs, agreed content responsibilities, link destination/attributes and placement report |
| Commercials | USD total, applicable taxes, third-party costs if any, payment method and due date |
| Approval rules | Publisher pre-approval, content review, anchor/URL rules and exclusions |
| Service level | Indicative delivery dates, reporting cadence and escalation contact |
2. Services and publisher approval
We coordinate publisher research, screening, outreach, editorial placement and reporting as set out in the accepted SOW. The buyer provides campaign details, target URLs, any prohibited publisher categories and an authorised person for approval. Content writing, edits, multilingual work, custom author accounts, guaranteed geographic targeting and bespoke reporting integrations are included only where the quotation expressly says so. Publishers retain editorial control and may reject an article or request lawful disclosures.
Before publication, the parties should agree whether the buyer approves every domain or authorises Arka Matrix to select publishers that meet documented criteria. If publisher approval is required and withheld, the fulfilment schedule is paused while workable alternatives are discussed.
3. Quality requirements and advertising disclosure
A quotation may state target metrics such as DA 40+, PA 40+ on an existing reference page, Spam Score under 5% and estimated monthly traffic at least 1,500. These are third-party screening thresholds checked at the review date, not Google-owned measurements or guaranteed future performance. Domain relevance, editorial quality and publisher authenticity also matter. We do not sell ranking guarantees or knowingly procure PBN placements under our published standards.
Paid guest-post placements should comply with applicable advertising/publisher rules and search-engine link qualification practices, including rel="sponsored" or rel="nofollow" where appropriate. The buyer may not require undisclosed paid link practices that breach publisher policy or law. We cannot guarantee rankings, search traffic, indexing or the passing of ranking credit.
4. Pricing, payment and international orders
Public packages are advertised in USD, but the exact invoice is determined by the accepted written quote. The quote must identify what the price includes, who bears payment processing or bank conversion fees, and which taxes, if any, are lawfully chargeable. Payments are due under the invoice instructions; no subscription or automatic renewal is created by the public website. For 50+ placements per month, a separate SOW establishes the volume, schedule and pricing.
A monthly relationship can continue through separately accepted orders. The buyer can decline future unaccepted batches without any implied retainer penalty. Accepted and paid batches are governed by the cancellation and no-refund terms below.
5. Six-month replacement guarantee
Each reported-live placement receives 180 calendar days of standard replacement coverage from its individual reported-live date. During that period, eligible publisher-controlled deletion, persistent loss of the article or contracted destination link, publisher-imposed noindex, or qualifying initial non-indexation after the 30-day review process is addressed through replacement. The standard allowance is up to two substitute placements per original purchased placement within the initial 180-day term; the replacement does not restart the coverage clock.
We aim to acknowledge a complete claim within two business days, assess it within five business days and complete an accepted comparable replacement within 20 business days after required information and approvals are available. Material publisher delays and buyer changes are communicated in writing. Full triggers, exclusions and verification methods appear in the Replacement Guarantee, which is incorporated into this standard framework unless the signed SOW expressly records an approved change.
6. Strict no-refund and cancellation terms
All accepted, paid service orders are non-refundable to the maximum extent permitted by applicable law. This covers buyer-initiated cancellations, changed client budgets, revised SEO strategies and dissatisfaction with outcomes that were not contracted as deliverables. A qualifying publisher failure is normally addressed with the contractual replacement service rather than a cash refund. Work that has not yet been agreed and accepted is not billed by virtue of an enquiry alone.
The no-refund policy is intended to govern commercial service orders under Indian law, including international agency orders. It is not a permission to retain money following fraud, legally actionable misrepresentation or material failure to provide the agreed services. A remedy that applicable mandatory law prohibits the parties from excluding remains available. The location of an overseas buyer does not automatically replace the agreed Indian governing law with that buyer's local law.
7. Acceptance, reporting and reasonable changes
Arka Matrix records delivered article URLs and agreed campaign details in a report. Buyers should notify material errors or quality concerns as soon as reasonably possible; a later claim for a covered removal is not waived merely because the original publication was accepted. New target destinations, substantial rewrites, niche changes and publisher resubmissions outside the agreed SOW may require written change approval and extra fees before proceeding.
Delivery dates are estimates unless expressly agreed as binding. Neither party should mark an order complete when required placements or reporting remain outstanding.
8. Confidentiality, intellectual property and white-label reselling
We keep agency briefs and client identity details confidential for the purpose of the order, subject to disclosures necessary for publishing, lawful requests and our Privacy Policy. We do not use an agency's end-client list for unrelated solicitation. Buyer-provided materials remain subject to the rights and permissions the buyer holds. Content ownership or licences for any newly written article should be specified in the accepted SOW. A separate non-disclosure agreement can be attached for sensitive projects.
White-label reporting does not mean that legally required sponsorship labels or public advertising disclosures will be omitted from a publisher's article.
9. Responsibility and liability
Each party is responsible for the accuracy and authority of the material it supplies. Neither party promises immunity from search-engine updates or third-party publisher decisions. Subject to rights and liabilities that law does not allow to be excluded, a proposed commercial liability cap is the fees actually paid for the affected order, excluding indirect or consequential loss. This cap requires legal review before adoption and must never be read as excluding liability that cannot lawfully be limited, including fraud or deliberate misconduct.
10. Disputes and governing terms
Buyers should first send concerns to contact@arkamatrix.com, including the order reference, affected URL and requested remedy. We aim to investigate in good faith using the accepted quotation and published coverage rules. Governing law: the parties expressly choose the laws of India for the service agreement, including international B2B purchases. Forum: contractual disputes are submitted to the exclusive jurisdiction of the competent courts in Mumbai, Maharashtra, India, provided those courts otherwise have lawful jurisdiction. Both parties will first attempt good-faith written resolution using the order reference and documentation. This clause does not create jurisdiction by agreement where none exists, and does not exclude legal protections that must apply notwithstanding a governing-law clause. An accepted SOW must identify the seller's true invoicing/legal entity. Subject to such mandatory law, a properly accepted SOW prevails over inconsistent general service terms.
11. How the agreement becomes binding
A valid accepted order should record: (1) a completed quotation or SOW, (2) the linked standard terms and replacement policy version, (3) any negotiated changes, (4) explicit approval from authorised parties and (5) invoice/payment confirmation. An email stating acceptance of the specific quote and policy version can provide a written record, subject to applicable law and the parties' own procurement requirements. Merely browsing the site, using WhatsApp or sending a contact form does not constitute acceptance of a paid order.
